    Clara Vela


    I am a lawyer graduated from the Law School of the “Universidad Católica Argentina” in 1995. I went to an English school and completed language courses in French at the Alliance Francaise and in Italian at the Dante Alighieri.

    I started working in 1993 at the law firm Marval, O´Farrell & Mairal. I specialized in corporate and finance law which involved, drafting and negotiating purchase and sale agreements of companies and bulk of assets in several industries, due diligence processes, drafting and negotiating shareholders agreements, advice on the local public offering regime, listing of companies in local and international markets, structuring of investment funds, setting up of corporations, representation and registration of foreign shareholders, negotiation of loan agreements and other financing documents, structuring of guarantees, trusts, licence and distribution agreements.

    Among the most relevant transactions of that time, I can mention my participation in the IPO of YPF S.A. in the local and international markets, the first issue of bonds of a local company listed simultaneously in the Argentine and in the US market, made by Telefonica Argentina S.A., the first issue of structured bonds, guaranteed with a trust on proceeds from an international agreement made by YPF S.A.

    In 1997 I studied a Master in Laws (LLM) at Duke University, North Carolina, U.S.A.

    Afterwards I worked in London at the English firm, Linklaters. In addition to working in the capital markets area I worked in the project finance area. Projects included bids and financing of English highways, construction and financing of an electric power plant in India, exploitation of carbon mines in Colombia, review of documents related to the 2004 Olympic games.

    In 1999, I came back to Argentina and continued working at the law firm Marval O´Farrell & Mairal, but as a consequence of the situation of the country at that time, my work started to be more related to debt restructurings, public tender offers of bonds and shares, withdrawal of companies of the public offering regime, securitizations, advice on strategies to prevent conflicts, disputes among shareholders, proceedings on behalf of corporations and directors before governmental entities, termination of contracts.

    Among the most relevant transactions of that time in which I took part, I can mention the public tender offer of shares of Massalin Particulares S.A. and others, the first public tender offer of shares in three jurisdictions simultaneously which included Argentine, Spanish and U.S. jurisdictions made by Banco Santander .S.A, the most important debt restructuring of a private company within the framework of an “acuerdo preventivo extrajudicial” regulated by Bankruptcy Law made by Telecom Group, debt restructuring by Compañía de Alimentos Fargo S.A. and its subsidiaries and the first expropriation proceeding and agreement with the government following the expropriation of Repsol’s shares in YPF S.A.

    I also attended many courses, conferences and seminars on commercial, accounting, corporate, financing matters, including development and financing of renewable energy projects.

    I am a member of the Colegio Público de Abogados de la Capital Federal.

    After more than twenty years working with the most important local and international law firms, in response to the needs of clients to receive personal, quick, taylor-made solutions, today I introduce my own law firm Vela Bullrich Abogados.
